Terms of Service

These Terms of Service ("Terms") govern access to and use of the Desi Kala Meta Business connection and advertising operations service ("Service"). By authorizing a connection, requesting work, or using the Service, the client agrees to these Terms.

Eligibility and authority

The Service is for business use. The person connecting Meta represents that they are at least 18 years old and are authorized to act for the client and grant access to the selected Business Portfolio, ad accounts, Pages, Instagram professional accounts, and related assets.

Service and authorization

The client authorizes Desi Kala to access the selected Meta assets and to perform the advertising and account-management activities separately agreed with the client. Access is limited by the permissions granted, Meta's controls, and the client's instructions. The client may revoke access through Meta or by contacting Desi Kala.

Client instructions, approvals, and spend

Desi Kala will create or manage advertising activity according to agreed instructions. The client remains responsible for final campaign approvals, budgets, billing methods, landing pages, products, offers, claims, creatives, audience criteria, and the accuracy and legality of materials it supplies. Media spend charged by Meta is the client's responsibility unless a separate written agreement says otherwise.

Account responsibility

The client must maintain accurate business information, appropriate Meta permissions, secure administrator access, and a valid payment method. The client must promptly tell us about unauthorized access, ownership disputes, restrictions, payment failures, or instructions that should be withdrawn.

Third-party platform terms

The client and its users must comply with Meta's terms, policies, advertising standards, developer requirements, and all applicable laws. Meta controls its APIs, reviews, permissions, account restrictions, billing systems, and advertising delivery. Desi Kala is an independent service provider and is not endorsed by or affiliated with Meta.

Acceptable use

The Service may not be used for unlawful, deceptive, discriminatory, infringing, harmful, unauthorized, or policy-violating activity. The client may not provide credentials or assets it does not have authority to use, interfere with security controls, or direct us to conceal or misrepresent advertising activity.

Fees and taxes

Service fees, payment timing, taxes, and any refund terms are governed by the client's separate proposal, invoice, order, or written agreement with Desi Kala. Meta advertising charges are separate from Desi Kala's service fees.

Privacy and confidential information

We handle personal information and Meta Platform Data as described in our Privacy Policy. Each party will use reasonable care to protect the other party's non-public business information and will use it only for the relationship or as required by law.

Suspension and termination

Either party may end the Service subject to any separate written agreement. We may immediately pause or terminate access when an account is restricted, compromised, unpaid, unlawful, unsafe to operate, or likely to violate Meta requirements or these Terms. After termination, the client should remove the integration in Meta and may request deletion of stored data.

Disclaimers

The Service is provided on an "as available" basis to the extent permitted by law. Desi Kala does not guarantee ad approval, uninterrupted platform access, delivery, reach, conversion, cost, revenue, or any particular business result. Meta and other third-party services may change or become unavailable without notice.

Limitation of liability

To the maximum extent permitted by law, Desi Kala will not be liable for indirect, incidental, special, consequential, exemplary, or lost profit, revenue, data, goodwill, or opportunity damages arising from the Service, Meta's platform, or a client's advertising decisions. Nothing in these Terms excludes liability that cannot lawfully be excluded.

Changes to these Terms

We may update these Terms to reflect changes to the Service, applicable law, or third-party platform requirements. Continued use after updated Terms take effect constitutes acceptance of the revised Terms.
